Internet Security Agreement
This agreement binds the Authorized User to the following: WCF operates an internet site which may be accessed by WCF policyholders to obtain certain information on workers' compensation claims and financial transactions on the policy. WCF will provide access to Policyholder's claims and financial information only and will provide Policyholder with a user name and a password which must be kept confidential; and 1. WCF grants a limited, non-transferable, revocable right to access the WCF internet site, herein called the system, by providing Policyholder with a user name and a password which gives Policyholder access to certain Policyholder information. WCF shall be entitled to rely on a request made by any person whom WCF reasonably believes to be the Authorized Person of the Policyholder by completion of the required fields: Policy Number, FEIN and either Amount of Last Payment or Estimated Annual Premium. 2. Policyholder shall access the system solely for its internal purposes and shall not access the system for the benefit of third parties nor make the system available to third parties without the prior written consent of WCF. Policyholder agrees that the system is the proprietary property of WCF and acknowledges and agrees that access to the system will automatically terminate upon cancellation or non-renewal of the Policyholder's workers' compensation insurance policy with WCF. 3. Policyholder acknowledges that some information in the system may be considered confidential medical information under state/federal law and Policyholder is solely responsible for keeping information obtained from the system confidential in accordance with state/federal law. Policyholder is responsible for, and will indemnify and hold WCF, its affiliates, officers, employees, agents and directors harmless from and against, any and all losses, claims, expenses (including attorney fees) or other liabilities resulting from the access, release or use of medical information through Policyholder's passwords. 4. Policyholder is responsible for the confidentiality and use of passwords to obtain access to the system. Policyholder represents and warrants to WCF that Policyholder will only provide passwords to Policyholder employees as Policyholder deems necessary. 5. If Policyholder provides a password to any person and then wishes access to the system by that person be denied, Policyholder is solely responsible for written notification to WCF regarding cancellation of access. 6. Policyholder shall promptly notify WCF of any unauthorized, negligent or inadvertent use of the system of which Policyholder is aware. WCF retains the right to immediately terminate Policyholder's access to the system, if in WCF's opinion, such action is necessary to maintain the integrity of the system. 7. WCF, its affiliates, officers, employees, agents and directors are not responsible for any use of the Policyholder's passwords. Policyholder is responsible for, and will indemnify and hold WCF, its affiliates, officers, employees, agents and directors harmless from and against, any and all losses, claims, expenses (including attorney fees) or other liabilities resulting from the use of passwords or access to the system by the Policyholder, the Policyholder's employees, or any other person to whom the Policyholder provides, either intentionally or unintentionally, directly or indirectly, the passwords. 8. While WCF believes that the information contained in the system is accurate and correct, WCF does not warrant the accuracy or the correctness of any information contained in the system. There are no warranties, express or implied, including, but not limited to any warranties of merchantability or fitness for any particular purpose. Policyholder acknowledges that the information in the system is subject to change without notice to the Policyholder. 9. WCF, its affiliates, officers, employees, agents and directors are not liable for any damage to the Policyholder resulting from the interception of any data or communications which are transported using internet services. WCF shall not be responsible for, and makes no warranties regarding the access, speed or availability of internet services. 10. Except as provided in Paragraph 6, this Agreement shall remain in effect unless terminated by either party after giving 10 days written notice, except that this Agreement will automatically terminate without notice upon cancellation or non-renewal of the Policyholder's workers' compensation insurance policy with WCF. Sections 3, 7, 8, 9, 11 & 12 shall survive any termination of this Agreement. 11. This Agreement constitutes the entire agreement between the parties pertaining to the subject matter hereof, and supersedes any and all agreements previously existing between the parties with respect to such subject matter. 12. This Agreement shall be governed by and construed in accordance with the laws of the State of Utah. In the event any provisions of this Agreement is determined to be unenforceable, such determination shall not affect the validity or enforceability of any other provision of this Agreement.
